1. Acceptance of Terms

By accessing or using our Services, you:

• Acknowledge that you have read, understood, and agree to be bound by these Terms.
• Represent that you have the legal capacity to enter into these Terms.

• Confirm that you understand the nature and limitations of our AI-powered Services as described below.

2. Nature of Service and AI Limitations

2.1 Service Description

Rae provides:

• AI-powered conversational support grounded in principles of cognitive-behavioral therapy (CBT), mindfulness, and psychodynamic concepts.
• Automated responses generated by machine learning models and related technologies.
• General wellness support and non-professional, non-clinical guidance intended to support self-reflection and emotional well-being.

2.2 Non-Medical Nature of Services

You explicitly acknowledge and agree that Rae:

• Is NOT a medical or healthcare service.
• Does NOT provide medical diagnoses, treatment, or prescriptions.
• Does NOT replace professional therapy, counseling, or mental health care.
• Is NOT a licensed therapist, counselor, psychologist, psychiatrist, or other healthcare provider.
• Does NOT maintain medical records.
• Is NOT covered by HIPAA or similar healthcare regulations.
• Does NOT create a doctor–patient, therapist–patient, or any other licensed care relationship with you.

You should always seek the advice of a qualified healthcare professional for questions about your health, mental health, or medical conditions. Never disregard professional medical advice or delay seeking it because of something you read or receive from Rae.

2.3 AI System Limitations and Crisis Situations

You acknowledge and agree that:

Technical Limitations:

• Responses are generated automatically by AI models without guaranteed accuracy or completeness.
• The AI may misunderstand context, give inappropriate or unhelpful suggestions, or contain errors.

Safety Limitations:

• Rae is not monitored by humans in real time.
• Rae cannot reliably detect emergencies, crises, or imminent risks of self-harm or harm to others.
• Rae does not contact emergency services, law enforcement, or any third party on your behalf.

Quality Limitations:

• The quality, coherence, and relevance of responses may vary.
• You are responsible for how you interpret and act on any information or suggestions provided by Rae.

If you are in crisis, considering self-harm, or are otherwise in danger, you must immediately contact local emergency services or a qualified crisis support resource. Rae is not designed or able to manage emergencies.

3. User Eligibility and Account Requirements

3.1 Age Restrictions

• You must be at least 13 years old to use the Services.
• Users under 13 are strictly prohibited from creating accounts or using the Services.
• If we learn that a user under 13 has created an account or provided personal information, we may take steps to delete that account and associated data.

3.2 Account Creation and Security

You agree to:

• Provide accurate, complete, and up-to-date registration information.
• Maintain the confidentiality of your account credentials.
• Be responsible for all activities that occur under your account.
• Notify us promptly at help@rae.chat if you suspect unauthorized access or use of your account.

3.3 Account Restrictions

You agree that you will not:

• Share your account or login credentials with others.
• Create accounts using automated means (e.g., bots, scripts).
• Create an account for another person without their permission.
• Provide false, misleading, or incomplete information.

4. User Responsibilities and Prohibited Uses

4.1 General Responsibilities

You agree to:

• Use the Services responsibly and in compliance with applicable laws and these Terms.
• Understand and accept the limitations of AI-generated content.
• Seek professional medical or mental health care when appropriate, especially for serious concerns.
• Report any clearly inappropriate or harmful AI interactions to help@rae.chat, if you choose.

4.2 Prohibited Uses

You agree that you will not use the Services to:

• Manage, respond to, or rely on Rae for emergency or crisis situations.
• Promote, encourage, or glorify self-harm, suicide, or harm to others.
• Engage in any unlawful, harassing, abusive, or harmful conduct.
• Upload, transmit, or share content that is illegal, defamatory, obscene, or infringes on the rights of others.
• Attempt to bypass, interfere with, or compromise the security or integrity of the Services.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying models of Rae's systems, except to the extent such restrictions are prohibited by law.
• Attempt to access data or areas of the system you are not authorized to access.

We reserve the right to restrict, suspend, or terminate your access to the Services if you violate these Terms or engage in conduct we reasonably consider harmful, abusive, or unlawful.

5. User Content and AI Outputs

5.1 User Content

"User Content" means any text or other material you submit, upload, or provide to the Services, including messages you send to Rae.

You retain ownership of your User Content. By using the Services, you grant Rae a non-exclusive, worldwide, royalty-free, sublicensable license to:

Use, host, store, reproduce, modify, and create derivative works from your User Content solely as necessary to:

• Provide and operate the Services;
• Maintain and improve functionality, security, and reliability;
• Debug and troubleshoot technical issues;
• Fulfill legal obligations; and
• Generate and use aggregated or de-identified data as described in our Privacy Policy.

We do not use your identifiable conversation content to train external general-purpose AI models.

5.2 AI-Generated Outputs

The Services may generate text or other content in response to your inputs ("AI Outputs").

Subject to these Terms, you may use AI Outputs:

• For your own personal, non-commercial use; and
• For purposes such as self-reflection, journaling, or personal insight.

5.3 Restrictions on Use of AI Outputs

You may not:

• Use AI Outputs for commercial purposes, including selling, licensing, or otherwise monetizing the content or using it within a paid product or service.
• Use AI Outputs to train, fine-tune, or otherwise improve any machine learning or AI model, system, or dataset.
• Use AI Outputs to develop, train, or operate a competing service to Rae or substantially similar AI-powered mental wellness or therapeutic tools.
• Represent AI Outputs as being created by a human professional (e.g., a licensed therapist or doctor) or as professional medical or mental health advice.

You remain responsible for how you use and share AI Outputs. Rae does not guarantee that any AI Output is unique, original, or free from third-party rights.

6. Data Collection and Privacy

By using Rae, you consent to the collection, use, storage, and processing of your personal and usage data as described in our Privacy Policy, which is incorporated into these Terms by reference.

Our Privacy Policy explains in detail:

• What information we collect;
• How we use and share that information;
• How long we retain it; and
• Your options for access, deletion, and other data-related requests.

In case of any conflict between these Terms and the Privacy Policy regarding data practices, the Privacy Policy will control for those specific issues.

7. Modifications, Suspension, and Termination

7.1 Changes to the Services

We may modify, update, or discontinue all or part of the Services at any time, with or without notice. This may include adding or removing features, changing how AI models are configured, or adjusting availability.

7.2 Changes to These Terms

We may update these Terms from time to time. When we do:

• We will update the "Last Updated" date at the top; and
• We may provide additional notice (for example, via the app or email) if changes are material.

Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the revised Terms.

7.3 Suspension and Termination by Rae

We may, at our discretion, suspend or terminate your access to the Services, or any part of them, immediately and without notice, if:

• You violate these Terms or our Privacy Policy;
• We suspect misuse, abuse, or fraudulent activity;
• We need to do so to comply with law or protect the rights, property, or safety of Rae, our users, or the public.

Upon termination, your right to access the Services will cease. We will handle your personal data in accordance with our Privacy Policy, including data deletion practices.

7.4 Termination by You

You may stop using the Services at any time. You may request deletion of your account (and associated data that we directly store) through the app. Data will then be handled according to our Privacy Policy.

Certain provisions of these Terms (including, but not limited to, ownership, disclaimers, limitation of liability, and use of aggregated/de-identified data) will survive termination.

8. Disclaimers and Limitation of Liability

8.1 Service Disclaimer

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Rae disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that any defects will be corrected.

8.2 No Professional Advice

AI Outputs and other content provided through the Services are for general informational and wellness support purposes only, and do not constitute professional medical, mental health, or other professional advice. You are solely responsible for how you interpret and use such content.

8.3 Limitation of Liability

To the maximum extent permitted by law, Rae shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of or inability to use the Services, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, Rae's total aggregate liability for any claims arising out of or relating to the Services or these Terms shall be limited to the greater of (A) the amount you paid (if any) for accessing the Services in the 3 months prior to the event giving rise to the claim, or (B) one hundred U.S. dollars (US $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, the above limitations may not fully apply to you, and our liability shall be limited to the minimum extent permitted by law.

8.4 Indemnification

You agree to indemnify, defend, and hold harmless Rae and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Services;
• Your violation of these Terms; or
• Your violation of any applicable law or third-party rights.

9. Governing Law and Dispute Resolution

These Terms and any disputes arising out of or relating to them or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Unless otherwise required by law, you agree that:

• Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Delaware, and
• You consent to the personal jurisdiction and venue of those courts.
